Myndo is for reflection, coaching, and mental fitness. The terms below cover the service model, payments, AI limitations, and user responsibilities without changing the legal meaning of the document.

By using Myndo, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

1. Introduction

Welcome to Myndo, a voice-based AI coaching and self-reflection tool for general wellbeing. Myndo helps you talk things through, reflect, and find clarity in the moment. Myndo is not a medical device and is not a therapy, counseling, or mental-health treatment service; it is not a substitute for professional care (see Section 5). These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Nelumbo Labs LLC ("Myndo," "we," "our," or "us") governing your access to and use of the Myndo service, including our website, applications, and all related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Service.

2. Service Description

Myndo provides general wellbeing and self-reflection support through a system of collaborating AI agents. Our Service offers personalized voice-based conversations, reflection and journaling tools, guided exercises, and supportive interactions designed to help you talk things through and find clarity. Myndo offers general informational and self-reflection support only; it does not provide medical, psychological, diagnostic, or therapeutic services.

3. Eligibility and Access

3.1 Age Requirement

You must be at least 18 years of age to access or use the Service. By accessing or using the Service, you represent and warrant that you are at least 18 years old.

3.2 Registration and Account Security

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Service Availability

The Service is operated by Nelumbo Labs LLC from the United States and is offered in the markets where we make it available. We aim to operate the Service in compliance with the laws applicable to us in the markets where we offer it. If you access the Service from a location where we do not offer it, you do so on your own initiative and are responsible for compliance with local laws. Nothing in these Terms limits any mandatory consumer-protection or data-protection rights you have under the laws of your country of residence; where those mandatory rights conflict with these Terms, those rights prevail.

4. Service Model and Payment

4.1 Access Models

Myndo may offer invite-only access, limited beta programs, paid memberships, or other paid offers. The features, usage allowances, and availability of any plan or offer will be described on our website, in the applicable app, or at the time of purchase.

4.2 Payment Authorization

If you enroll in a paid membership or purchase any paid offer from Myndo, you agree to pay all applicable fees as described at the time of purchase. Payments may be processed by Stripe, Apple, Google, or another authorized payment processor depending on the platform you use. You agree to provide accurate and complete payment information and authorize us or our payment processor to charge your selected payment method for applicable fees.

4.3 Automatic Renewal, Cancellation, and Refunds

Paid memberships are subscriptions that automatically renew at the end of each billing period (for example, monthly or annually, as selected) at the then-current price, unless you cancel before the renewal date. The price, billing frequency, and renewal terms are disclosed to you at the point of purchase. You may cancel a recurring membership at any time: for purchases made directly from us, you can cancel in your account settings; for purchases made through the Apple App Store or Google Play, manage or cancel the subscription in your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period. Refund eligibility, if any, will be governed by the applicable purchase flow, platform rules, any refund terms presented at the time of purchase, and your non-waivable statutory rights (see Section 4.4).

4.4 Statutory Cancellation and Refund Rights (Cooling-Off Period)

If you are a consumer in the European Union, the United Kingdom, or another jurisdiction that grants a statutory cooling-off period, you may withdraw from a purchase made directly from us (for example, via our website) within 14 days without giving a reason. Because the Service is supplied to you immediately, by purchasing the Service and choosing to begin using it during the cooling-off period you expressly request that we begin performance immediately and acknowledge that you will lose the right of withdrawal: for digital content, once supply has begun; and for the Service supplied as a service, once it has been fully performed. To exercise this right, contact support@myndo.ai. Purchases made through the Apple App Store or Google Play are subject to those stores' own cancellation and refund processes. Nothing in this Section limits any non-waivable consumer rights under the laws of your country of residence.

5. Mental Health Disclaimer

Myndo is an AI-powered tool for self-reflection and general wellbeing, NOT a therapy, counseling, or mental health treatment service.

5.1 Not a Substitute for Professional Care

IMPORTANT: Myndo is not a substitute for professional medical advice, diagnosis, or treatment. The Service is designed to provide general support and a space to reflect, but does not replace therapy, counseling, or other mental health treatment provided by licensed professionals.

  • Myndo does not diagnose, treat, or provide therapy for any mental health condition
  • Our AI assistant is not a licensed mental health professional
  • Conversations with Myndo are not a substitute for professional mental health care
  • Myndo does not perform therapeutic decision-making or provide clinical recommendations

5.2 AI-Generated Content

Myndo may generate content that feels emotionally supportive or psychologically insightful, but this content is produced by AI and is not reviewed by licensed professionals. Do not rely on Myndo to diagnose, prevent, or treat any mental health condition.

5.3 Emergency Situations

Myndo is not designed to address emergency situations. If you are experiencing a crisis, having thoughts of harming yourself or others, or need immediate help, contact your local emergency number or a crisis line right away. Local emergency numbers include 911 (United States and Canada), 999 (United Kingdom and Hong Kong), 112 (Ireland and the European Union), 000 (Australia), 111 (New Zealand), 999 police / 995 ambulance (Singapore), and 112 (India).

Crisis lines in the markets we serve include:

  • Go to your nearest emergency room

If your country is not listed, contact your local emergency number or nearest emergency room. Our AI may share crisis resources during conversations, but this does not constitute professional crisis intervention.

6. User Conduct

6.1 Acceptable Use

You agree to use the Service only for its intended purpose and in accordance with these Terms and applicable laws and regulations.

6.2 Prohibited Activities

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Use the Service to harm yourself or others
  • Attempt to access, tamper with, or use non-public areas of the Service
  • Probe, scan, or test the vulnerability of the Service
  • Circumvent or bypass measures employed to prevent or limit access to the Service
  • Use the Service for any commercial purpose without our prior written consent
  • Use the Service to develop a competing product or service
  • Engage in any harassing, intimidating, predatory, or stalking conduct
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the operation of the Service or servers or networks connected to the Service

7. Privacy and Data

7.1 Privacy Policy

Our Privacy Policy, available at myndo.ai/privacy, describes how we collect, use, and share information about you when you use our Service. By using the Service, you consent to our collection, use, and sharing of information as described in the Privacy Policy.

7.2 Privacy-First Approach

We are committed to a privacy-first approach. We collect only the information necessary to provide and improve our Service.

7.3 User Content and Personalized Insights

You retain ownership of the content you provide to the Service ("User Content"). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content, and to create derived content from it (such as transcripts, summaries, insights, and your weekly review), solely to operate, secure, and provide the Service to you and as described in our Privacy Policy. We do not sell, rent, publish, or distribute your User Content, and we do not use it for advertising or for marketing to you. This license ends when your User Content is deleted, except for limited backup copies that are overwritten in the normal course of business.

We use AI technology to process your conversation transcripts to generate personalized insights that help provide tailored support. These insights may include patterns in your communication, preferences, wellness indicators, emotional states, and other information that helps us personalize your experience. These insights are used solely to improve your experience with the Service and are subject to the same privacy protections as your other personal information.

7.4 Marketing Communications

With your explicit consent, we may send you marketing communications via email. You can manage your marketing preferences in your account settings or by clicking the unsubscribe link in any marketing email. For full details about how we handle marketing communications, see Section 3.2 of our Privacy Policy.

Upon account deletion, we permanently delete all your personal content from our systems, including conversation transcripts, memories, insights, and personalized content. We retain only minimal billing metadata (session timestamps, durations, and usage metrics) as required by law for financial record-keeping. This billing metadata contains no personal content and is automatically deleted after the legal retention period. See our Privacy Policy for full details.

8. Intellectual Property

8.1 Ownership of the Service

The Service, including all content, features, and functionality, is owned by Nelumbo Labs LLC and its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 Limited License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

8.3 Feedback

If you provide feedback, ideas, or suggestions regarding the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose without compensation to you.

9. Termination

9.1 Termination by You

You may terminate your account at any time directly in the app (Settings → Account) or at myndo.ai/account-rights. When you delete your account, your personal content is permanently deleted as described in our Privacy Policy, and any active subscription is cancelled (where you purchased through Apple or Google, cancellation is subject to that store's process). We complete deletion without undue delay.

9.2 Termination by Us

We may suspend or terminate your account and access to the Service if (a) you materially breach these Terms, (b) we are required to do so by law, or (c) we cease to offer the Service. Except where a breach by you, a legal obligation, or a risk to security or to other users requires immediate action, we will give you reasonable advance notice. Where you are a consumer, we will act proportionately, and your mandatory legal rights are not affected.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and data protection provisions.

9.4 Data Protection Upon Termination

When you terminate your account, we permanently delete all your personal content as outlined in our Privacy Policy. Only minimal billing metadata is retained as required by law.

10. Limitation of Liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for any rights or remedies you have as a consumer under the mandatory laws of your country of residence that cannot lawfully be waived or limited. The disclaimers, exclusions, and limitations in this Section (including Sections 10.1–10.3) apply only to the extent permitted by the laws applicable to you; where those laws do not allow the exclusion or limitation of certain warranties or liabilities, those provisions apply to the minimum extent permitted and the remainder of this Section continues in effect.

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 Limitation of Liability

IN NO EVENT SHALL NELUMBO LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

10.3 Cap on Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION) WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) FIFTY DOLLARS ($50) OR (B) THE AMOUNT YOU HAVE PAID NELUMBO LABS LLC IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO YOUR CLAIM.

10.4 Mental Health Support Disclaimer

MYNDO PROVIDES A SUPPORT TOOL AND NOT MEDICAL OR PROFESSIONAL MENTAL HEALTH ADVICE. THE SERVICE MAY INCLUDE CONTENT RELATED TO MENTAL HEALTH, BUT SUCH CONTENT IS FOR INFORMATIONAL PURPOSES ONLY. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL OR MENTAL HEALTH CONDITION.

10.5 AI Limitations

You acknowledge and understand that:

  • The Service is powered by AI and may not always produce accurate, relevant, or appropriate responses.
  • The AI is not sentient and does not possess awareness of your emotional or mental state beyond the literal words you use.
  • You are solely responsible for how you use or interpret any responses provided by the Service.

We make no warranties regarding the accuracy, reliability, or usefulness of AI-generated content.

10.6 Consumer Rights in Certain Countries

Australia. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled: to cancel your service contract with us; and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

New Zealand. If you acquire the Service as a consumer, the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 apply, and nothing in these Terms limits or excludes any right or remedy you have under those Acts that cannot be contracted out of.

European Union, United Kingdom, and other jurisdictions. If you are a consumer, you keep the benefit of any mandatory provisions of the law of your country of residence, including statutory guarantees that digital content and services be as described and of satisfactory quality. Nothing in these Terms affects those rights.

11. Indemnification

You agree to defend, indemnify, and hold harmless Nelumbo Labs LLC, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

If you are a consumer, this indemnity applies only to claims, liabilities, damages, losses, and expenses that arise from your breach of these Terms, your misuse of the Service, or your violation of law or the rights of another, and only to the extent permitted by the laws applicable to you.

12. Modifications to the Service and Terms

12.1 Modifications to the Service

We reserve the right to modify or discontinue, temporarily or permanently, the Service or any features or portions thereof. Where required by law, we will give consumers reasonable advance notice of any material modification or discontinuation of the Service. Except to the extent the law provides otherwise, we will not be liable for any modification, suspension, or discontinuance of the Service or any part thereof; however, if you have prepaid for a subscription and we permanently discontinue the Service, we will provide a pro-rata refund for the unused portion of your then-current billing period. This refund is in addition to, and is not limited by, Section 10.

12.2 Modifications to the Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. For changes that materially affect your rights or obligations, we will give you reasonable advance notice before they take effect (for example, by email or in-app notice). By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you may reject them by ceasing to use the Service and cancelling any subscription before the changes take effect; for paid plans, material changes will not apply to your then-current billing period without your consent.

13. AI Transparency

Myndo is committed to transparency regarding our AI systems. We make our AI agent instructions publicly available and strive to be open about how our AI works. However, specific proprietary details about our AI architecture are not disclosed to protect our intellectual property.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any action related thereto will be governed by the laws of the State of California without regard to its conflict of law provisions.

14.2 Dispute Resolution

Subject to Sections 14.4 and 14.5, any dispute arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration in San Francisco, California. The arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver

ANY ARBITRATION OR COURT PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU ACKNOWLEDGE THAT, BY AGREEING TO THESE TERMS, YOU AND MYNDO ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

14.4 Consumers Outside the United States

If you are a consumer, Sections 14.1–14.3 apply only to the extent permitted by the mandatory law of your country of residence. Where that law prohibits a choice of California law, mandatory pre-dispute arbitration, an out-of-jurisdiction forum, a class-action waiver, or a jury-trial waiver in consumer contracts (as is generally the case in the European Union, the United Kingdom, Australia, New Zealand, Canada, India, Singapore, and Hong Kong), those provisions do not apply to you. In that case, these Terms are governed by the law of your country of residence, you may bring proceedings in the competent courts of that country, and you retain the benefit of its mandatory consumer-protection laws.

14.5 Right to Opt Out of Arbitration (United States)

If you are a U.S. resident, you may opt out of the arbitration agreement and class-action waiver in Sections 14.2–14.3 by sending written notice to support@myndo.ai within 30 days of first accepting these Terms, stating your name and your intent to opt out. Opting out will not affect any other part of these Terms. Notwithstanding the foregoing, either party may bring an individual claim in a small-claims court of competent jurisdiction.

15. Data Protection Commitment

15.1 Restricted Data Use

We commit to using your data solely for the purpose of providing and improving the Service. Your data, including conversation transcripts and any derived personal insights, will never be used for advertising, marketing to you, or sold to data brokers or other third parties.

15.2 Data Protection in Business Transfers

In the event of any merger, acquisition, or sale of all or a portion of our assets, we will require any acquiring entity to:

  • Honor this data protection commitment
  • Use your data solely for providing and improving the Service
  • Maintain the same or stronger level of data protection
  • Provide you with advance notice and the option to delete your data prior to the transfer

15.3 User Rights Survival

Your rights to access, correct, and delete your data will survive any change in ownership of Myndo.

15.4 Personalized Insights Protections

Personalized insights generated from your conversations with Myndo will only be used to personalize and improve your experience with the Service. These insights will never be used for targeted advertising, sold, or shared with third parties other than service providers acting on our behalf under strict data-processing agreements (as described in our Privacy Policy), and will never be used for any purpose not directly related to providing the Service to you.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and us concerning the Service.

16.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

16.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Nelumbo Labs LLC may freely assign or transfer these Terms without restriction, subject to the Data Protection Commitment in Section 15.

17. Apple App Store and Other Platform Terms

The following additional terms apply when you download, install, or use the Myndo application (the "Application") obtained from a third-party application marketplace or platform (each, a "Platform Provider," including Apple Inc. and Google LLC). These terms supplement the rest of these Terms and, solely with respect to your use of the Application obtained from a Platform Provider, control in the event of any conflict. Where the following terms refer specifically to Apple, the equivalent provision applies to the Platform Provider from which you obtained the Application (for example, Google LLC for the Google Play store).

17.1 Acknowledgement

These Terms are concluded between you and Nelumbo Labs LLC only, and not with any Platform Provider. Nelumbo Labs LLC, and not the Platform Provider, is solely responsible for the Application and its content. Your use of the Application must comply with the applicable Platform Provider's terms of service, including the App Store Terms of Service and Usage Rules.

17.2 Scope of License

The license granted to you for the Application is a non-transferable license to use the Application on any device that you own or control (including, for Apple devices, any Apple-branded products), and only as permitted by the Usage Rules set forth in the applicable Platform Provider's terms of service, except that the Application may be accessed and used by other accounts associated with you via Family Sharing, Google Play family library, or volume purchasing where applicable.

17.3 Maintenance and Support

Nelumbo Labs LLC is solely responsible for providing any maintenance and support services with respect to the Application, as required under applicable law or as specified in these Terms. The Platform Provider has no obligation whatsoever to furnish any maintenance and support services with respect to the Application.

17.4 Warranty

Nelumbo Labs LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Application to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application. Where you obtained the Application from Google Play, any refund is handled in accordance with the Google Play refund policy, and Google has no warranty obligation with respect to the Application.

17.5 Product Claims

Nelumbo Labs LLC, and not the Platform Provider, is responsible for addressing any claims by you or any third party relating to the Application or your possession and/or use of the Application, including but not limited to: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

17.6 Intellectual Property Rights

In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Nelumbo Labs LLC, and not the Platform Provider, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

17.7 Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

17.8 Developer Name and Address

Any questions, complaints, or claims with respect to the Application should be directed to Nelumbo Labs LLC, c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, United States, by email at support@myndo.ai.

17.9 Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the Application.

17.10 Third-Party Beneficiary

You acknowledge and agree that the applicable Platform Provider, and its subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, the Platform Provider will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
